WHEREAS, The Town Council of the Town of Dover, under and by virtue of an Act of the General Assembly of the State of Delaware, entitled “An Act Authorizing the Town Council of The Town of Dover to Borrow Thirty Thousand Dollars ($30,000) and to Issue Bonds Therefor for the Purpose of the Enlargement and Improvement of the Light and Water Plant of the said The Town of Dover” approved February 2, A. D. 1921, is authorized and empowered to borrow upon the faith and credit of the said The Town of Dover a sum of money not exceeding Thirty Thousand Dollars ($30,000) and to issue bonds of the said The Town of Dover to be known as “Dover Electric Light and Water Improvement Bonds” to an amount not exceeding the said sum of Thirty Thousand Dollars ($30,000).

AND WHEREAS, Section 3 of said Act provides, among other things, that the denomination of said Bonds shall be as determined by said Council and shall be numbered consecutively, beginning with Number One, and bear interest at a rate not exceeding six per centum (6%) per annum, payable on the first days of January and July in each and every year at the Farmer Bank of the State of Delaware, at Dover, on the presentation of the coupons attached to said Bonds, representing said semi-annual interest.

AND WHEREAS, Section 4 of said Act provides that said Bonds shall bear date on the first day of July or the first day of January in the year in which the same shall be issued, and that the principal thereof shall be payable at the Farmer Bank of the State of Delaware, at Dover, at the expiration of thirty (30) years from the date, and the said Bonds or any of them may be redeemed at the option of the said Town Council at par, and accrued interest at any interest period after the expiration of five (5) years from the date of said Bonds, provided, however, that if the Town Council shall at any time after the expiration of five (5) years from the date of said Bonds elect to redeem any of said Bonds, such redemption shall be made in pursuance of notice signed by the President of said Town Council and by the Treasurer thereof, published once a week for two consecutive weeks in each newspaper published in the said Town, and that such notice shall indicate the Bonds called and in making such calls, the municipal corporation shall call the Bonds according to their number, beginning with the lowest number, and the interest on any of said Bonds shall cease from the date named in any of said calls for redemption.

AND WHEREAS, Section 5 of said Act provides that The Town Council of the Town of Dover shall direct and affect the preparation, printing and sale of said Bonds, authorized by said Act, at such time or times and on such terms as they may deem expedient.

AND WHEREAS, Section 6 of said Act provides that the form of said Bonds with coupons thereto attached shall be prescribed by the Town Council of The Town of Dover and said Bonds shall be signed by the President of the Town Council of The Town of Dover, and by the Treasurer of said Town, and sealed with the corporate seal said Corporation, and shall be exempt from State, County and municipal taxes.

AND WHEREAS, Section 8 of said Act provides that the said Bonds authorized by said Act may be issued at one time and in one series, or at different times and in different series as the Town Council of the said The Town of Dover shall determine, and that the authority to issue and sell any Bonds or number of bonds under the said Act shall not be deemed to be exhausted until the aggregate of the amount of Bonds issued under said Act shall be Thirty Thousand Dollars ($30,000).

AND WHEREAS’, under and by Section 9 of said Act, the faith and credit of the said The Town of Dover are pledged for the payment of all of the Bonds that may be issued under the provisions of said Act.

AND WHEREAS, Section 10 of said Act provides that before any Bonds shall be issued under the provisions of said Act, a special election shall be held in the same place and in the same manner as other Town elections, and that notice of said election shall be given by advertisements in a newspaper published in the Town of Dover, State of Delaware, and by posting notices in at least ten public places in said Town at least ten days before said election, which said advertisements and notices shall state the time and place of the election and the number of Bonds proposed to be issued and purposes for which said money is to be borrowed; and further provides that at said election every taxable paying taxes in the said Town shall be entitled to vote and shall have one vote for each One Dollar or fractional part of One Dollar of taxes paid by such taxable, according to the last assessment in said Town; and further provides that if at such election a majority of the votes cast shall be for the Bond issue, then Bonds to the amount voted on and not exceeding in the aggregate Thirty Thousand Dollars ($30,000) may be issued as in the said Act provided, but if at such election the majority shall be against the Bond issue, then no Bonds shall be issued nor money borrowed under the said Act.

AND WHEREAS, the Town Council of The Town of Dover, at a meeting thereof regularly called and held on the Seventh day of February, A. D. 1921, adopted the following preambles and resolutions:

WHEREAS, The Town Council of The Town of Dover, under and by virtue of an Act of the General Assembly of the State of Delaware entitled “An Act Authorizing The Town Council of The Town of Dover to Borrow Thirty Thousand Dollars ($30,000) and to Issue Bonds therefor for the Purpose of the Enlargement and Improvement of the Light and Water Plant of the said The Town of Dover” approved February 2, A. D. 1921, is authorized and empowered to borrow upon the faith and credit of the said The Town of Dover a sum of money not exceeding Thirty Thousand Dollars ($30,000) to be used for the purpose of the enlargement and improvement of the Light and Water Plant of the said The Town of Dover and the equipment thereof.

AND WHEREAS, Section 5 of said Act provides that all the Moneys arising from the sale of said Bonds shall be applied to carry into effect the provisions of said Act.

AND WHEREAS, Section 10 of said Act provides among other things, that before any Bonds shall be issued under the provisions of said Act a special election shall be held in the same place and in the same manner as other Town elections and that notices of said election shall be given by advertisements in a newspaper published in the Town of Dover, State of Delaware, and by posting notices in at least ten public places in said Town at least ten days before said election, which said advertisements and notices shall state the time and place of the election and the amount of the Bonds proposed to be issued and the purpose for which said money is to be borrowed.

NOW, THEREFORE, BE IT RESOLVED by the Town Council of the Town of Dover in regular meeting assembled:

FIRST: - That it is deemed advisable that Bonds as provided for in said Act of the General Assembly to the aggregate amount of Thirty Thousand Dollars ($30,000) be issued.

SECOND: That all the moneys arising from the sale of such Bonds shall be applied to carry into effect the provisions of the said Act, that is to say, for the purpose of the enlargement and improvement of the Light and Water Plant of the said The Town of Dover and the equipment thereof.

THIRD: That a special election be held on Saturday, the Twenty-sixth day of February, A. D. 1921 between the hours of One o’clock and Four o’clock in the afternoon, in the same manner as other Town elections in the Levy Court Room in the Town of Dover, Kent County and State of Delaware, it being the same place for the holding of other Town elections, and that the Clerk of t he Council be and he is hereby authorized to forthwith give notice by advertisements in one or more newspapers published in the Town of Dover, State of Delaware, and by posting notices in at least ten public places in said Town at least ten days before said election, and that said advertisements and notices shall state the time and place of the election and the amount of Bonds proposed to be issued and the purpose for which said money shall be applied.

FOURTH: That John C. Hopkins and Thomas V. Keith two of the four members of The Council who held over, be and they are hereby chosen by The Council, who together with the alderman shall hold the said election.

AND WHEREAS, at a regular meeting of the Town Council of The Town of Dover, regularly called and held on the said Seventh day of February, A. D. 1921, the said the Town Council of the Town of Dover approved the following notice of special election, and did authorize and direct that the Clerk of said Council give notice by advertisements in one or more newspapers published in the Town of Dover, State of Delaware, and by posting notices in at least ten public places in said Town at least ten days before said election, and which said notice of special election is in the following words and figures, to-wit:

NOTICE OF SPECIAL ELECTION

NOW, THEREFORE, NOTICE IS HEREBY GIVEN

That a special election be held on Saturday, the Twenty-sixth day of February, A. D. 1921 between the hours of One o’clock and Four o’clock in the afternoon, in the same manner as other Town elections in the Levy Court Room in the Town of Dover, Kent County and State of Delaware, it being the same place for the holding of other Town elections FOR THE PURPOSE OF DECIDING whether of not The Town Council of the Town of Dover shall issue Bonds to the Aggregate amount of Thirty Thousand Dollars ($30,000) as provided in said Act of the General Assembly for the purpose of the enlargement and improvement of the Light and Water Plant of the said The Town of Dover and the equipment thereof.

At said elections every taxable paying Town Taxes in the said Town shall be entitled to vote and shall have one vote for each One Dollar ($1.00) or fractional part of One Dollar ($1.00) of taxes paid by such taxable according to the last assessment in said Town, and for the purpose of this election residence shall not be a qualification to voting in the said Town.

At the said election the ballots used shall have written or printed thereon the words “FOR THE BOND ISSUE” or the words “AGAINST THE BOND ISSUE”.

If, at such election, a majority of the votes cast shall be for the Bond Issue, then Bonds to the amount voted on and not exceeding in the aggregate thirty Thousand Dollars ($30,000) may be issued as in the said Act provided. But if, at such election, the majority shall be against the Bond Issue, then no Bonds shall be issued nor money borrowed under the said Act.

AND WHEREAS, in compliance with the provisions of said Act and the resolution adopted by the Town Council of the Town of Dover as aforesaid, the Clerk of the said The Town Council of The Town of Dover gave notice of said special election and at a meeting of the Town Council of The Town of Dover, regularly called and held on the Seventh day of March, A. D. 1921, the said Clerk of the said The Town Council of the Town of Dover, submitted to said Town Council a copy of said notice of special election, together with the affidavit of the Clerk of said Council as to the posting of said notices, and also together with the affidavits of the publishers as to the publications of said notices in newspapers published in the said The Town of Dover, and which said copy of notices of special election, together with the affidavits thereto attached were accepted by the said The Town Council of The Town of Dover, and entered in full in the minutes of said meeting, and are in the following words and figures, to-wit:

D. 1921,the time specified in said notice for the holding of said special election.
